These Terms & Conditions ("Terms") govern your access to and use of HypePanda (the "Platform"), a brand owned and operated by Digistick Services Private Limited ("Digistick", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. About the Platform
HypePanda is a two-sided marketplace that connects businesses and brands ("Brands") with content creators and influencers ("Creators") for paid collaborations. Digistick provides the technology platform that facilitates discovery, communication, and payment between Brands and Creators. Digistick is not a party to the actual collaboration agreement between a Brand and a Creator, except as a facilitator and payment intermediary as described in these Terms.
2. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract to use the Platform. By using the Platform you represent that you meet these requirements and that all information you provide is accurate and current.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during onboarding, including your role (Creator, Brand, or Agency), contact details, and, where applicable, social media handles. We may suspend or terminate accounts that violate these Terms.
4. Creator Obligations
- Creators must own or have the right to use all content they upload, including showcase videos and photos.
- Creators must deliver agreed deliverables in accordance with the terms accepted for each collaboration.
- Creators must comply with all applicable advertising and disclosure laws, including disclosure of paid partnerships as required by the Advertising Standards Council of India (ASCI) and applicable law.
- Creators must not misrepresent follower counts, engagement, or audience data.
5. Creator Identity Verification (KYC)
To maintain a trusted marketplace and to comply with applicable laws, after a Creator completes onboarding we collect Know Your Customer ("KYC") documents for identity verification. Completing KYC verification is a mandatory condition before a Creator is permitted to offer their services, receive collaboration requests, or be paid through the Platform.
As part of KYC, a Creator may be asked to provide one or more of the following: (a) a government-issued photo identity document (such as Aadhaar, PAN, passport, voter ID, or driving licence); (b) a clear photograph or selfie for identity matching; (c) bank account or UPI details for the purpose of receiving payments; and (d) any additional information reasonably required to verify identity or comply with tax and anti-money-laundering obligations.
By submitting KYC documents, the Creator confirms that all documents and information provided are genuine, accurate, and belong to them. Submitting forged, altered, or another person's documents is strictly prohibited and will result in immediate suspension or termination of the account, and may be reported to the relevant authorities.
We use KYC information solely for identity verification, payment processing, fraud prevention, regulatory compliance, and platform safety. KYC documents are stored securely and handled in accordance with our Privacy Policy. We retain KYC records only for as long as necessary to fulfil these purposes or as required by applicable law. Access to KYC data is restricted to authorised personnel. We do not sell KYC information, and we share it only with payment partners, verification service providers, or authorities where required by law.
Until a Creator's KYC verification is successfully completed and approved, the Creator's ability to offer services and accept paid collaborations will remain restricted. Digistick reserves the right to request re-verification at any time and to decline or revoke verification at its discretion where it has reasonable grounds to do so.
6. Content Review & Going Live
Every Creator profile is manually reviewed by the HypePanda team before the Creator is made live on the Platform. This review covers both the content a Creator submits (including showcase videos, photos, and any media uploaded) and the Creator's profile details (such as name, bio, niche, social media handles, and other information provided during onboarding).
Until the HypePanda team has reviewed and approved a Creator, the Creator's profile remains hidden and is not discoverable by Brands or other users. A Creator becomes visible and able to receive collaboration requests only after both KYC verification and content review have been successfully completed and approved.
We review submissions to maintain quality and trust and to ensure compliance with our content guidelines and applicable law. We reserve the right, at our sole discretion, to reject, hide, or remove any content or profile information that we determine to be misleading, unlawful, infringing, obscene, offensive, or otherwise in violation of these Terms or our guidelines. Where content is rejected, we may ask the Creator to revise and resubmit it. Approval is not guaranteed, and we may decline to make a profile live or may revoke a previously approved profile if we later identify a violation or have reasonable grounds to do so.
7. Brand Obligations
- Brands must provide clear, lawful briefs and must not request content that is illegal, misleading, defamatory, or infringing.
- Brands must make payment through the Platform for collaborations initiated on the Platform.
- Brands are responsible for reviewing and approving delivered work within a reasonable time.
8. Payments, Commission & Settlement
Payments for collaborations are processed through our third-party payment gateway. When a Brand funds a collaboration, the amount is collected and held by Digistick as an intermediary. Upon the Brand's approval of delivered work, Digistick releases the payable amount to the Creator after deducting the applicable platform commission.
The standard platform commission is 10% of the collaboration value. Creators subscribed to HypePanda Pro are charged a reduced commission of 5%. Commission rates are displayed at the time an offer is made and may be updated from time to time with notice.
HypePanda Pro is an optional subscription offered to Creators. It is sold as a 30-day access pass for a one-time fee (currently ₹499). Pro benefits remain active for the duration of the pass and do not auto-renew unless explicitly stated at the time of purchase.
9. Taxes
You are responsible for determining and paying any taxes applicable to your transactions, including income tax and Goods and Services Tax (GST) where applicable. Digistick will issue invoices and collect taxes as required by law.
10. Prohibited Conduct
You agree not to: (a) use the Platform for any unlawful purpose; (b) circumvent the Platform to avoid commission ("off-platform" dealing for collaborations initiated here); (c) upload harmful, infringing, obscene, or misleading content; (d) harass other users; or (e) attempt to gain unauthorised access to the Platform or its systems.
11. Content & Intellectual Property
Creators retain ownership of content they create, subject to any licence granted to a Brand under a specific collaboration. The HypePanda name, logo, and Platform design are the property of Digistick and may not be used without permission.
12. Limitation of Liability
The Platform is provided on an "as is" basis. To the maximum extent permitted by law, Digistick shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform or from any dispute between a Brand and a Creator. Our total liability for any claim shall not exceed the commission we earned on the relevant transaction.
13. Dispute Resolution & Governing Law
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Gautam Buddh Nagar (Noida), Uttar Pradesh. Disputes between Brands and Creators should first be raised with us at the contact details below; we will attempt to mediate in good faith but are not obligated to resolve third-party disputes.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
